Intellectual Property Rights
Ownership and copyright in the QR Gate software belong exclusively to Proveb MMC. This notice applies to everyone who uses the system - both subscribers and participants in the free trial (demo).
1. Protected subject matter
Exclusive intellectual property rights cover the following:
- source and object code;
- internal architecture, algorithms and logical structure;
- database models and data structures;
- interface design (UI/UX), visual elements and the administration panel;
- business logic, business model and technical solution;
- documentation, naming system and the product brand.
2. Prohibited actions
The user, directly or indirectly (through its management, founders, employees, contractors or affiliated persons), is not entitled to:
- Visual copying: capture and distribute screenshots, video recordings or any visual reproduction of the administration panel, its functions, menu structure and operating mechanism for the purpose of building a similar product, competing, or passing them to a third party. Exception: a user taking screenshots of their own data (reports, timesheets, attendance) for the internal needs of their own company does not fall under this prohibition;
- Reverse engineering: copy the software in whole or in part, decompile it, or use artificial intelligence tools, scripts or automated programs in order to study its internal logic and algorithms;
- Creating a competing product: design or build a similar, alternative or competing product drawing on the architecture, design or operating principle of the system, or assist third parties to that end by way of consultancy or technical specifications;
- Transfer of access: pass credentials (username, password, API keys) to any natural or legal person outside the authorised staff;
- sublicense, sell, distribute or provide the software to a third party for commercial purposes without authorisation.
3. Trade secrets and confidentiality
Any technical, technological and commercial information obtained by accessing the system, as well as the internal structure of the system, is considered a trade secret. The user is obliged to take the necessary security and organisational measures to prevent this information from reaching third parties. The confidentiality obligation remains in force for 5 years after the end of the usage relationship.
4. Acceptance of the terms and evidence
This document is expressly accepted by the user at registration and on first login. The moment of acceptance is recorded in the system: date and time, IP address, device details, together with the revision of the accepted document at that moment and the digital fingerprint of the text (SHA-256). This record is retained regardless of any subsequent update of the document.
Login records (server logs), IP addresses, in-system activity analytics, database logs and server requests are retained in order to establish the fact of a breach and may be submitted as evidence in accordance with the legislation of the Republic of Azerbaijan.
5. Liability
In cases of copyright infringement, disclosure of trade secrets or creation of a competing product, Proveb MMC is entitled to claim compensation for actual damage and lost benefit, as well as reimbursement of costs relating to the restoration of business reputation. In such cases the account is blocked immediately and the legal measures provided for by law are taken.
6. Jurisdiction
Disputes arising from this notice are resolved first of all by written claim. Failing agreement, the dispute is heard by the competent court in accordance with the applicable legislation of the Republic of Azerbaijan.
